TechNaut Labs Terms and Conditions

1. Acceptance of These Terms

By accessing or using the Site, submitting a form, or scheduling a meeting with us, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site. If you use the Site on behalf of a business or other entity, you confirm that you are authorized to accept these Terms for that entity.

2. Eligibility and Acceptable Use

The Site is intended for business owners and professionals located in the United States who are at least 18 years old. By using the Site, you confirm that you meet these requirements.

You agree to use the Site only for lawful purposes and in line with these Terms. You agree not to:

• Give false, misleading, or someone else’s information, or impersonate any person or entity;
• Submit someone else’s phone number or email address without their permission;
• Use the Site to send spam, unsolicited promotions, or harmful, defamatory, or unlawful content;
• Upload or send viruses, malware, or other harmful code;
• Try to gain unauthorized access to the Site, our systems, or our service providers’ systems, or interfere with the Site’s operation or security;
• Use bots, scrapers, or other automated means to access, copy, or collect content or data from the Site without our written permission; or
• Copy, modify, distribute, sell, or create derivative works from the Site’s content except as these Terms allow.

3. Description of Services

TechNaut Labs is a specialty service company that helps small business owners, generally businesses with roughly $1 million to $20 million in annual revenue, identify and pursue tax and financial efficiency and growth strategies. The Site gives general information about TechNaut Labs and lets you contact us and schedule a consultation.

Using the Site, submitting a form, or meeting with us for an introductory consultation does not make you a client and does not oblige either of us to enter into an engagement. All services we provide are governed by a separate written engagement agreement signed by you and TechNaut Labs. That agreement will describe the scope of services, fees, responsibilities, and other terms. If these Terms conflict with an engagement agreement, the engagement agreement controls for the services it covers.

We may work alongside affiliated or partner firms to deliver certain services. Any services those firms provide are offered under their own agreements, terms, and disclosures, and we will identify them to you before you engage them.

We may change, suspend, or discontinue any part of the Site at any time without notice.

4. No Financial, Tax, Legal, or Investment Advice

Content on the Site, including articles, examples, calculators, videos, and marketing materials, is for general informational and educational purposes only. It is not tax, legal, accounting, financial, or investment advice, and it does not account for your specific facts. Do not act or refrain from acting based on Site content without first getting advice from qualified professionals who know your situation.

Professional advice is given only under a signed engagement agreement and only within its scope. Any tax-related discussion on the Site or in general communications is not intended or written to be used, and cannot be used, to avoid penalties under the Internal Revenue Code or to promote, market, or recommend any transaction or matter to another party. Tax laws and regulations change often and can apply differently depending on your circumstances.

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, investment product, or insurance product. [TBD: compliance to confirm any required licensure or registration disclosures.]

5. No Guarantee of Results

Tax savings, financial outcomes, and business growth depend on many factors outside our control. These include your business’s facts and records, your decisions and how you carry them out, the actions of tax authorities and other third parties, and changes in law. We do not promise or guarantee any particular result, savings amount, refund, audit outcome, or growth. Case studies, testimonials, examples, and estimates on the Site are illustrative only. They do not predict your results and are not guarantees of future performance.

6. User Accounts (If Offered)

The Site does not currently offer user accounts or a client portal. If we offer accounts, portals, or other login-based features in the future, this section will apply to them:

• You must give accurate, current, and complete registration information and keep it up to date;
• You are responsible for keeping your login credentials confidential and for all activity under your account;
• You must notify us right away at privacy@technautlabs.com [TBD] if you suspect unauthorized access to your account; and
• We may suspend or terminate accounts that violate these Terms or put the security of the Site or other users at risk.

Additional terms may apply to any portal or account feature and will be shown to you when you sign up.

7. Communications, SMS/Text Messaging, and Electronic Notices

Consent to electronic communications. By submitting a form or otherwise contacting us, you agree to receive communications from us electronically, including by email and through our scheduling tools. You agree that these communications satisfy any legal requirement that a communication be in writing.

SMS/text messages. If you give us your mobile number and expressly opt in, for example by checking the SMS consent box on our contact form, you agree to receive text messages from TechNaut Labs at that number, including messages sent with automated technology. Texts may cover your inquiry, appointment confirmations and reminders, follow-ups, and, if you separately agree, marketing or promotional content. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time, or HELP for help. You may also contact us at privacy@technautlabs.com [TBD]. Carriers are not liable for delayed or undelivered messages. We do not share your mobile number or SMS opt-in data or consent with third parties or affiliates for their marketing or promotional purposes, as described in our Privacy Policy.

You confirm that any mobile number you give us belongs to you or that you are authorized to use it. You agree to let us know if you give up or change that number.

Email. You can unsubscribe from marketing emails at any time with the link in the email. We may still send transactional and relationship messages.

8. Intellectual Property

The Site and its content, including text, graphics, logos, the TechNaut Labs name and marks, images, videos, page designs, and software, are owned by TechNaut Labs or its licensors. They are protected by U.S. and international copyright, trademark, and other intellectual property laws.

We give you a limited, non-exclusive, non-transferable, revocable license to access and view the Site, and to print or download reasonable portions of its content, for your own internal, non-commercial informational use, as long as you keep all copyright and proprietary notices. You may not use our names, logos, or trademarks without our prior written permission. We reserve all rights not expressly granted.

9. User Submissions and Feedback

You are responsible for the information you submit through the Site, including through forms, scheduling tools, and messages (“Submissions”). You confirm that your Submissions are accurate, that you have the right to share them, and that they do not violate any law or third-party right. Please do not submit confidential or sensitive financial information, such as Social Security numbers, account numbers, or tax returns, through the Site’s general contact form. If an engagement requires such information, we will give you a secure method.

We will handle personal information in your Submissions under our Privacy Policy. Submitting information through the Site does not create a confidential, client, or fiduciary relationship. Any confidentiality obligations about client information will be set out in your engagement agreement.

If you send us ideas, suggestions, or feedback about the Site or our services (“Feedback”), you agree that we may use the Feedback for any purpose without paying you or owing you anything.

10. Third-Party Links and Services

The Site may contain links to, or features provided by, third-party websites and services, including scheduling, CRM, video conferencing, analytics, and social media platforms. These are provided for your convenience. We do not control third-party sites or services and are not responsible for their content, availability, security, or privacy practices. A link does not mean we endorse the site. Your use of third-party sites and services is at your own risk and subject to their terms and privacy policies.

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TECHNAUT LABS DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT IS CURRENT OR ACCURATE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TECHNAUT LABS, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR ANY TAX, PENALTY, OR INTEREST, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, OR YOUR RELIANCE ON IT. THIS APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) [TBD: confirm cap]. Liability for services provided under an engagement agreement is governed by that agreement. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless TechNaut Labs and its members, managers, officers, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, that arise from or relate to: (a) your use or misuse of the Site; (b) your Submissions; (c) your breach of these Terms; or (d) your violation of any law or the rights of any third party. We may take over the exclusive defense and control of any matter you must indemnify us for. If we do, you agree to cooperate with our defense.

14. Termination

We may suspend or end your access to all or part of the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should continue after termination will continue, including Sections 4, 5, and 8 through 18.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Subject to Section 16, you and TechNaut Labs agree that any legal action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state courts located in Utah County, Utah, or the federal courts for the District of Utah. Each party consents to the personal jurisdiction of, and venue in, those courts.

16. Dispute Resolution

Informal resolution first. Before starting any formal proceeding, you agree to first contact us at privacy@technautlabs.com [TBD] or at our mailing address with a written description of the dispute and the relief you want. You and TechNaut Labs will try in good faith to resolve the dispute informally for at least 30 days.

Individual claims; class action waiver. To the fullest extent permitted by law, you and TechNaut Labs agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. [TBD: counsel to decide whether to add binding individual arbitration (common among benchmarked firms, e.g., AAA Commercial Rules, seated in Utah County, with a small-claims carve-out and a 30-day opt-out). If arbitration is adopted, Section 15 would apply only to non-arbitrable matters.]

Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND TECHNAUT LABS EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE. [TBD: counsel to confirm.]

Time limit. To the extent permitted by law, any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the claim arises, or it is permanently barred. [TBD: counsel to confirm.]

Disputes about services provided under an engagement agreement are resolved under the dispute resolution terms of that agreement.

17. Severability, Waiver, and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will stay in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy, are the entire agreement between you and TechNaut Labs about the Site. They replace any prior understandings about the Site. They do not replace any signed engagement agreement, which governs the services it covers. You may not assign these Terms without our prior written consent. We may assign them without restriction. Headings are for convenience only.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Changes take effect when posted unless stated otherwise. If you keep using the Site after updated Terms are posted, you accept the changes. If you do not agree with the updated Terms, please stop using the Site.
